3. Services & Project Agreements
3.1 Project Scope
All services will be defined in a written proposal, quotation, or contract. Any additional work outside the agreed scope may require additional charges.
3.2 Timelines
Project timelines depend on client cooperation, content submission, and feedback. Delays caused by the client may affect delivery dates.
3.3 Revisions
Revision limits (if applicable) will be outlined in the proposal. Additional revisions may incur extra charges.
4. Payments & Fees
A deposit may be required before starting work.
Remaining payments must be made as per agreed milestones.
Late payments may result in project suspension.
All payments are non-refundable once work has commenced unless otherwise agreed in writing.
Softrickx reserves the right to suspend services for unpaid invoices.
5. Client Responsibilities
The client agrees to:
Provide accurate and complete information
Supply necessary content (text, images, branding materials)
Ensure content provided does not infringe third-party rights
Respond to communications in a timely manner
6. Intellectual Property
6.1 Ownership
Upon full payment, the client will own the final approved deliverables unless otherwise specified.
6.2 Portfolio Rights
Softrickx reserves the right to showcase completed projects in its portfolio, marketing materials, and website unless agreed otherwise in writing.
6.3 Third-Party Assets
Some projects may include third-party tools, plugins, or software subject to separate licenses.
7. Confidentiality
Both parties agree to keep confidential any proprietary or sensitive business information shared during the project.
8. Limitation of Liability
Softrickx shall not be liable for:
Indirect or consequential damages
Loss of profits or business opportunities
Website downtime caused by hosting providers
Security breaches caused by third-party platforms
Our total liability shall not exceed the amount paid for the service in question.
9. Website & Digital Services Disclaimer
While we aim to deliver secure and high-performance solutions:
We do not guarantee specific ranking positions in search engines.
We do not guarantee specific revenue or business outcomes.
Ongoing maintenance is recommended for security and performance.
10. Termination
Either party may terminate a project in writing.
If terminated:
The client must pay for work completed up to termination date.
Softrickx retains rights to unpaid work.
11. Maintenance & Support
Ongoing support or maintenance services must be agreed under a separate agreement or maintenance plan.
12. Governing Law
These Terms shall be governed and interpreted in accordance with the laws of Sri Lanka, without regard to conflict of law principles.
13. Changes to Terms
Softrickx reserves the right to update these Terms at any time. Updated terms will be posted on our website with a revised effective date.
